Choose the name of your corporation carefully. It is very important that you portray the image you want for your new corporation. The name you select must not be deceptively similar to any existing corporation in your state. A name appearing to be that of a natural person and containing a given name or initials must not be used as a corporate name except with an additional word or words such as “Incorporated,” “Limited,” “Inc.,” “Ltd.,” “Company,” “Co.,” “Corporation,” “Corp.,” or other word which identifies it as not being a natural person. Your company name will be filed with the state exactly as it is entered below. Check if your company name is available.

The state filing fee is based on the value of the total number of authorized shares stated in the Articles of Incorporation. For the purpose of computing the filing fee, the value (capital) represented by the total number of shares authorized in the Articles of Incorporation is determined by computing the:
A. total authorized shares multiplied by their par value or;
B. total authorized shares without par value multiplied by $1.00 or;
C. the sum of (a) and (b) above if both par and no par shares.
Filing fees are calculated on a minimum par value of one-tenth of a cent (.001), regardless if the stated par value is less.

Shares of stock are an ownership interest in a corporation. For-profit corporations must have stock. Par Value is simply the lowest price at which a share of stock can be sold. Stock must be sold for at least this value or the owner of the stock can face liability. With low par value stock or no par value stock, this liability is minimized. The par value has nothing to do with the actual value of the stock. The actual value would be determined by fair market value (the amount someone is willing to pay for the stock) or book value (an accounting method looking at assets less liabilities = value of equity). If you do not know what to how to complete this portion, we will use by default 75,000 shares with 1 US$ par value. You can have a maximum of 75,000,000 shares with par value of 0.001 US$ with the basic incorporation fee.
